    SAN FRANCISCO, June 8--Quokka Sports, a leading provider of sports entertainment for the digital world, announced it has signed a definitive agreement to acquire a controlling interest in Golf.com L.L.C., a leading golf Internet property. Under the terms of the agreement, Quokka Sports will issue approximately 3.9 million shares of common stock in exchange for 71% of the ownership interest of the privately held Golf.com. NBC Sports will retain its 29% ownership of Golf.com.

    ATLANTA, June 8--EarthLink strengthened its position as the nation's second largest ISP by announcing a definitive agreement to acquire OneMain.com, one of the country's ten leading ISPs. On a combined basis, the two companies have more than 4.2 million members. The transaction expands EarthLink's national market coverage from major population centers into rural communities and smaller cities where OneMain.com has focused its operations.

    EarthLink will purchase OneMain.com for cash and stock valued at approximately $308 million, or approximately $12.27 per share for each of OneMain.com's 25.1 million common shares outstanding. The purchase price consists of approximately $150 million in cash and approximately 8.8 million shares of EarthLink common stock.

    FOSTER CITY, June 8--Internet infrastructure software developer Inktomi said it would pay a total of $344.7 million for Ultraseek Corp., a subsidiary of GO.com . Inktomi will assume all stock options of Ultraseek in exchange for $3.5 million in cash and Inktomi stock valued at $341.2 million. Of the total amount, $317.5 million will be given to Go.com.

    GO.com said its divestiture of the Ultraseek enterprise business, which provides customisable search and navigation software to businesses for their corporate intranet and extranet sites, helps the Internet firm focus on providing consumer entertainment, information and services on the Internet.

    BOSTON, June 8--Exchange Applications, now doing business as Xchange, announced that it has signed a definitive agreement to acquire privately held software and services provider CustomerAnalytics, based in Dallas, Texas. Upon completion of the acquisition Xchange will integrate CustomerAnalytics' EnAct, a planning application for front line customer contact, into its eCRM solution suite Xchange 4.0. Under the terms of the agreement, Xchange will issue approximately 5.2 million shares of its common stock and stock options to existing holders of CustomerAnalytics common stock and options.

    LOS ANGELES, June 8--e4L, Inc. and eWonders.com announced the merger of BuyItNow.com, a leading online retailer, and pcWonders.com, a leading e-commerce company specializing in the sale of computer hardware and software, consumer electronics, audio and computer games. e4L is the largest stockholder of BuyItNow; pcWonders is a wholly-owned subsidiary of eWonders.com.
