    SUNNYVALE, April 25--HotJobs.com (HOTJ) announced that it signed a definitive agreement to merge with Resumix. Combining HotJobs.com's award-winning technology with Resumix's enhanced hiring management systems creates a powerful and unique service to provide valuable new web-based tools for the combined company's customers to automate their recruiting workflow. Following the merger, Resumix will continue its operations as a subsidiary of HotJobs.com headquartered in Sunnyvale, California.

    Under the terms of the agreement, HotJobs.com will issue approximately 3.6 million shares of its common stock, representing approximately 10.2% of its common stock outstanding after the merger, to Resumix's current stockholders who are accredited investors. Stockholders of Resumix who are not accredited investors will receive cash for their shares of Resumix that, as of close of market on April 24, 2000, would not exceed $800,000. In addition, HotJobs.com will assume Resumix's existing stock option plans, resulting in the potential additional issuances of approximately 1.1 million shares of HotJobs.com common stock upon the exercise of Resumix employee stock options.

    SEBASTIAN, April 25--eMerge Interactive (EMRG) , a business-to-business value-chain integrator serving the $40-billion U.S. beef-production industry, announced today that it has acquired two companies to accelerate its unique value-add business strategy: the sales and support infrastructure of Louisville, Kentucky-based Eastern Livestock Co., the nation's largest livestock-marketing operation and Jordan Cattle Auction of San Saba, Texas, pioneers in the field of cattle-health certification. Starting today, world music fans will be able to sample, purchase and download over 850 MP3 tracks from the Music of the World catalog.

    IRVINE, April 25--Quest Software (QSFT) announced the company has signed a definitive agreement to acquire MessageWise, based in Ottawa, Ontario, Canada, a leading provider of performance monitoring and configuration management solutions for Microsoft Exchange e-mail networks. Under the terms of the agreement, Quest will acquire privately-held MessageWise for a combination of cash and stock totaling approximately $12 million. The acquisition, which is expected to be completed by the end of April, will be accounted for as a purchase.

    SAN JOSE, April 25--Bell Microproducts (BELM) announced that it has signed a letter of intent to acquire Ideal Hardware plc, a wholly owned subsidiary of InterX plc. Ideal Hardware is a leading UK-based value-added, storage-centric distributor. With Ideal Hardware, Bell Microproducts will gain a strong presence in the UK and coverage of the European continent. Ideal Hardware is focused on the high end of the storage market. Bell Microproducts and InterX plc have entered into an agreement whereby Bell Microproducts will conduct due diligence and the companies will negotiate a definitive agreement.
