    REDWOOD CITY, Aug. 9--Phone.com, a provider of wireless Internet infrastructure and application software, and Software.com, a provider of Internet infrastructure software for wireline and wireless service providers, announced they will merge to create a global powerhouse that will provide a broad range of carrier-class software to wireless and wireline carriers, portals and Internet service providers. Under the terms of the definitive merger agreement, shareholders of Phone.com and Software.com will each own approximately 50% of the combined company, whereby each Software.com shareholder will be entitled to receive 1.6105 Phone.com shares for each of their shares of Software.com.

    HERNDON, Va., Aug. 9--LifeMinders, a provider of Web and wireless direct marketing infrastructure, announced it will acquire smartRay Network, a wireless messaging company. This acquisition accelerates the use of LifeMinders personalization technology in the wireless industry, making it the first permission marketer to have a complete wireless offering. The acquisition of SmartRay Network has a purchase price of $36 million, comprised of approximately 1.25 million shares of LifeMinders Common Stock and $1 million in cash.

    CHICAGO, Aug 8--MVP.com, a sports e-tailer backed by Michael Jordan, John Elway, and Wayne Gretzky, announced its plans to acquire PlanetOutdoors.com, an outdoor e-commerce site based in Boulder, Colorado. PlanetOutdoors.com's financial backers will invest additional funding in the combined company. MVP.com will continue to leverage PlanetOutdoors' strong brand equity by maintaining and promoting the PlanetOutdoors URL, but will also be accessible by entering through MVP.com. Terms of the agreement with PlanetOutdoors.com were not disclosed.

    DALLAS, Aug. 9--iDial Networks, a rapidly growing Application Service Provider (ASP) of leading communication technologies, announced the acquisition of Whoofnet.com in an all-stock agreement valued at approximately $8.1 million. Whoofnet is a next generation, e-commerce Internet Company that utilizes multimedia to drive sales of consumer products and services by marrying the in-house consumer marketing power of television with the global reach of web-based e-commerce, and the company will continue to expand and develop their existing portal and provide iDial Networks present customers with a family of services that include Whoofnet's free e-mail service and its business-to-customer service.
